Announcement on Public Offering of Viva Armenia CJSC USD Bonds

During the period from February 12, 2025 to June 23, 2025, inclusive, AMERIABANK CJSC is arranging the public offering of “Viva Armenia” CJSC nominal coupon book-entry bonds with the following terms and conditions:

“Viva Armenia” CJSC bond prospectus was registered by the resolution of the Chairman of the Central Bank of Armenia N 1/17A dated 22.01.2025.

For a printed version of the prospectus and its supplement please visit Ameriabank CJSC (hereinafter the “Bank” or the “Arranger”) head office (address: 2 Vazgen Sargsyan St., 0010, Yerevan, Armenia).

To purchase bonds, the investors shall fill in the application-order (hereinafter the “order”) form and deliver it to the Arranger in a due manner. Subject to the order, investors accept and agree to be bound by the terms and conditions of the issue.

An order for the purchase of bonds will be considered duly submitted to the Arranger if it has been submitted through any of the following systems or means of communication;

Online Via submission of an electronic order through MyInvest platform of the Bank's MyAmeria application
In person By visiting any of the Bank’s branches and completing the relevant purchase order with the client manager
By email to CapitalMarkets@ameriabank.am
Via CBAnet CapitalMarkets Ameriabank/AMERIA/CBANet@CBANet

After filling out the order for the purchase of bonds and properly submitting it to the Arranger, the appropriate funds for the purchase of the bonds must be deposited by the investors to the account number 1570043109811401 opened at Ameriabank CJSC for the purpose of issuance, until the end of the day of submission of the purchase order.Individuals who are purchasing the bonds through MyInvest platform of MyAmeria mobile application have the opportunity to automatically open a securities account and deposit the appropriate funds for the purchase of bonds through the same platform.

Investors are informed about the fulfillment of their orders within 1 working day following the order submission date.

What is a bond?
A bond is a security that certifies the right of its owner to receive the face value of the bond from the issuer within the period specified therein. A bond also entitles its owner to receive interest on the face value of the bond.
Who is the target of the public offering of the bonds?
The issuance and public offering of the bonds are carried out in the territory of the Republic of Armenia in accordance with its laws and bylaws.
What kind of bonds does the Company offer?

The company offers dollar bonds with the following terms:

What income will I receive from the bonds?
Bond investors can receive income through coupon payments and may have capital gain upon sale in favorable market conditions.
What is a bond? Will I be able to sell the bonds at a higher price?
Bond price is determined by market supply and demand. The price of bonds on the stock exchange can rise or fall due to various factors, causing a profit or loss for the investor.
Is interest income from bonds taxable?
According to the current draft law, interest income from bonds listed on the stock exchange is expected to remain tax-exempt until December 31, 2027.
Where can I receive complete information about the Company and the offered bonds?
Full information about the Company and the offered bonds is presented in the prospectus which is available on the official websites of Viva Armenia CJSC and Ameriabank CJSC.

ABOUT PURCHASING BONDS

 
How can I purchase the offered bonds?

The bonds are sold by the arranger, i.e. Ameriabank CJSC. The bonds can be purchased:

  • Online - by submitting an electronic application-order for the purchase of bonds through the MyInvest platform of Ameriabank's MyAmeria application.
  • In person - by visiting any Ameriabank branch and filling out the bond purchase application-order through customer managers.
  • By sending the completed bond purchase application-order form to the relevant Ameriabank email address: capitalmarkets@ameriabank.am.In this case, an investor must have a valid securities custody account and ensure payment for the bonds to account number 1570043109811401 within the same day.
Is it necessary to become a client of Ameriabank to purchase the bonds?
No. However, only the individual clients of Ameriabank can submit an electronic application-order through the MyInvest platform.
How to become a client of Ameriabank?
Individuals can become a client at any Ameriabank branch. Individuals can also open a bank account and become a client online: https://smart-apply.ameriabank.am/
Besides a bank account, what other accounts should an investor have?
To purchase bonds, an investor must have a dollar account and a securities account. Investors submitting an electronic application-order for the purchase of bonds through Ameriabank's MyInvest platform have the opportunity to open a securities account online.
Is there an account opening fee?
Opening a bank account online and maintaining it at Ameriabank is free of charge. A securities account, however, incurs an annual maintenance fee of 5,000 AMD (this fee may vary for accounts holding foreign securities). For information on fees associated with bank and securities accounts at other licensed companies, investors should contact those companies directly.
Are there any other costs for purchasing bonds?
No additional costs or taxes will be charged to the persons purchasing the bonds during the placement. In case of purchasing the bonds through a brokerage firm, the investor should clarify the details of the payment process with the respective brokerage firm. Investors transferring funds for bond purchases to the issuer's account opened at Ameriabank from another bank should ascertain any applicable transfer fees or commissions with that bank.

ABOUT SELLING BONDS

 
Can I sell the bonds after the purchase?
The bonds can be sold after they are listed on the Armenia Stock Exchange and admitted to trading. Prior to listing, investors should be aware that that trading opportunities will be limited.
When will the bonds be listed?
Within 5 business days after the placement of the bonds, the Company will apply to the Armenia Stock Exchange for listing and approval for trading of the bonds. The listing process takes 2-3 weeks on average.
What do I need to trade bonds on the stock exchange?
In order to trade bonds on the stock exchange investor must use brokerage services. Brokerage services are provided by a number of local banks and investment companies. Individuals using Ameriabank's brokerage services can trade bonds on the stock exchange online through MyInvest platform.
What costs do I incur when trading bonds on the stock exchange?
For transactions with bonds an exchange fee equal to 0.005% of the transaction amount is applied. Apart from the exchange fee, an additional commission may be applied by the broker. Investors can obtain information about it from their broker. Ameriabank applies a brokerage fee of 0.1% of the transaction value (min. AMD 2,000) for such transactions.
